Sanford H. Greenberg is a founding partner of Greenberg Freeman LLP. Mr. Greenberg was previously associated with Proskauer Rose LLP and Gaston & Snow.

The focus of Mr. Greenberg’s practice is commercial litigation, fiduciary and estate litigation, employment law and business law. His clients include companies and individuals engaged in a broad range of businesses including domestic and foreign manufacturing, public relations and marketing, fashion and modeling, e-commerce, risk mitigation and cyber security, finance, engineering, pharmaceutical sales and development and  real estate. In addition, Mr. Greenberg represents executors, administrators, trustees, beneficiaries and others in contested matters involving trusts and estates.

For over 30 years, Mr. Greenberg has successfully litigated complex commercial matters, including trials and appeals, involving contracts, corporations, partnerships, limited liability companies, limited liability partnerships, fashion and modeling, real estate, fiduciaries, trusts and estates, securities, broker-dealers, trade secrets, restrictive covenants (including non-competition and non-solicitation agreements), employment, uniform commercial code, fraud, negligence (including legal malpractice), construction and defamation. Mr. Greenberg litigates jury and non-jury disputes in state and federal courts and has appeared in numerous arbitral and administrative forums including AAA, FINRA, SEC,  EEOC, the New York State Division of Human Rights and the New York City Division of Human Rights.

Mr. Greenberg has extensive experience counseling and litigating on behalf of employers and employees in a broad range of employment and labor matters including employment contracts, severance agreements, non-competition and non-solicitation agreements, employment policies and procedures, employee handbooks, sexual harassment and discrimination, discharge and discipline of employees, New York Labor Law, prevailing wage and whistle blower.

Working closely with the Firm’s Trusts and Estates Department, Mr. Greenberg regularly represents executors, administrators, trustees, beneficiaries and others in contested matters involving trusts and estates.  Mr. Greenberg has extensive experience in Surrogate’s Court litigating will contests, and matters involving the removal of fiduciaries, breach of fiduciary duty, accountings, lack of capacity, undue influence and fraud.

Mr. Greenberg represents fashion modeling agencies, casting companies and fashion models in contract negotiations and drafting including representation agreements, endorsement and brand marketing agreements, joint representation agreements, employment agreements and casting agreements.  Mr. Greenberg routinely litigates disputes involving modeling agencies and fashion models.

Mr. Greenberg advises privately held companies and their principals regarding the formation, financing, operation, governance, sale and dissolution of corporations, partnerships, limited liability companies and limited liability partnerships. He regularly drafts and negotiates operating agreements, partnership agreements, and stock and membership purchase and sale agreements.  As outside general counsel to numerous privately held companies, Mr. Greenberg is routinely consulted regarding day to day operations and employment matters.
